REAL ESTATE BROKERAGE FRANCHISE AGREEMENT
COMMISSION SALES REPRESENTATIVE AGREEMENT
This Agreement is made effective as of [Date], by and between:

PixelFix Films, a [State] Corporation, with its principal office located at [Company Address] (hereinafter referred to as the “Company”),

and [Representative’s Full Name], residing at [Representative’s Address] (hereinafter referred to as the “Representative”).

1. Appointment

The Company hereby appoints the Representative as a non-exclusive independent contractor to market and promote the Company’s services, including but not limited to video production, post-production, editing, and related media services.

2. Term

This Agreement shall commence on the effective date above and continue until terminated by either party upon thirty (30) days’ written notice.

3. Duties of Representative

The Representative agrees to:

  • Promote and solicit orders for the Company's services.

  • Use reasonable efforts to further the interests of the Company.

  • Not make any representations, warranties, or guarantees concerning the Company’s services other than those expressly authorized.

  • Act professionally and comply with all applicable laws and Company policies.

4. Commission and Payment

4.1 Commission Rate
The Representative shall be entitled to a commission of [insert percentage, e.g.,40%] of the net revenue actually received by the Company from sales directly attributed to the Representative's efforts.

4.2 Payment Schedule
Commissions will be calculated and paid monthly, within fifteen (15) days of the end of each month.

4.3 No Commission on Uncollected Accounts
No commission shall be paid on invoices that remain unpaid or are refunded.

5. Independent Contractor Status

The Representative is an independent contractor and not an employee, agent, or partner of the Company. The Representative shall be responsible for all taxes, insurance, and licenses required to operate.

6. Confidentiality

The Representative agrees to maintain the confidentiality of all non-public information concerning the Company’s business, clients, and services, both during and after the term of this Agreement.

7. Non-Compete and Non-Solicitation

7.1 Non-Compete
During the term of this Agreement and for a period of one (1) year following its termination, the Representative shall not represent or work for any direct competitor of the Company without prior written consent.

7.2 Non-Solicitation
For one (1) year after termination, the Representative shall not solicit or attempt to solicit the Company’s clients or employees.

8. Termination

This Agreement may be terminated by either party with or without cause by providing thirty (30) days’ written notice.

Upon termination, the Representative shall be entitled only to commissions on sales closed before the termination date. No future commissions shall be due.

9. Miscellaneous

  • Governing Law: This Agreement shall be governed by and construed under the laws of the State of [Insert State].

  • Entire Agreement: This document contains the full understanding between the parties.

  • Amendments: Must be made in writing and signed by both parties.

  • Assignment: This Agreement may not be assigned by the Representative without prior written consent of the Company.
